MELBOURNE, July 22 (Reuters) - An independent expert backed Newcrest Mining's $8.7 billion offer for Lihir Gold on Thursday, clearing the way for shareholders to vote on the deal to create the world's fourth-biggest listed gold miner.

'The proposal is in the best interest of LGL shareholders in the absence of a superior proposal,' independent expert Grant samuel and Associates said, according to Lihir.

The cash and shares offer values Lihir at A$4.18 a share, or A$9.9 billion, based on Newcrest's close on Wednesday.

Lihir shares have been trading just below the offer value since Newcrest improved its bid in May, indicating investors expect the deal to go ahead, with no other suitors in sight.

SYDNEY, July 2 (Reuters) - The Australian government's compromise mining tax deal is expected to unlock a stalled pipeline of mergers and acquisitions in the booming resources sector, although some political hurdles for big deals remain.

The tax agreement announced on Friday means work could resume on billions of dollars worth of expansion, acquisitions and capital raisings, which bankers say have been shelved by uncertainty over Australia's future tax regime for months.

While dealmakers were already crunching the numbers on some suspended transactions Friday, many acquisition strategies could stay on ice until after a likely Australian election this year and the new laws are passed by parliament.

Deals in sectors excluded from the new tax regime, including gold, nickel and copper, were also expected to flourish.

'When you went through the pipeline in December it looked fantastic and then the RSPT (resources super profits tax) came in and killed that pipeline stone dead. I don't think everything will start moving as of today,' one investment banker said.

'For the coal miners where everything was put on hold things will slowly getting moving again in the next month or two.'

There were $3.3 billion worth of deals targeting Australian companies in the metals and mining sector in the first half of 2010, according to Thomson Reuters data.

This was down from $63.8 billion in the first half of 2009, although that data included BHP Billiton and Rio Tinto's iron ore joint venture.

There has been speculation U.S. miner Peabody Energy might come back for another tilt at Australian miner Macarthur Coal once the tax dispute was resolved.

Peabody walked away after Macarthur rejected Peabody's fourth bid in May, ending a $3.5 billion bidding war for the miner. Peabody reduced its previous offer, blaming the tax.

Macarthur shares rose on Thursday after news broke a tax deal was imminent. However, the stock cooled on Friday, falling 1.5 percent.

Deals in sectors excluded from the new tax regime, including gold, nickel and copper, were also expected to flourish.

'For large parts of the mining sector for them the tax is dead and they can move forward,' Ernst & Young Global Mining & Metals Sector Leader Mike Elliott told Reuters.

'The removal of large amounts of that uncertainty now means that some of those deals that have lived in a state of suspension ... could be reactivated.'

LIHIR DEAL

Australia's Newcrest Mining expects to complete an $8 billion deal to buy rival Lihir Gold by September this year. The tax debate had little impact on that deal as Lihir derives the bulk of its production from Papua New Guinea.

However, bankers said Friday the agreement reached Friday made it less likely that AngloGold Shanti, Barrick Gold and Newmont Mining Corp would come in with rival bids.

This was due to less favourable exchange rates for North American buyers and coal prices compared to a month, along with the removal of a tax threat for gold miners.

'Those things have put the ball firmly back in Newcrest's sight. If a third party proposal had a 50 per cent probability a few weeks it would probably have a 10 percent probability today,' one person familiar with the deal told Reuters.

The amount suitors were willing to pay for Australian assets could also rise once the uncertainty was removed, bankers said.

'If there is uncertainty they have to factor that into the valuation. If you get a more bullish market people might be a little more generous in the way they discount those risks,' said another banker who declined to be named as he was not authorised to speak to the media.

However, others said the mining tax impact had been used as an excuse by some bidders as most deals had such long lead times. MELBOURNE, June 23 (Reuters) - Lihir Gold expects to release an independent expert's report on Newcrest Mining's $9.2 billion takeover offer in mid-July, a Lihir spokesman said on Wednesday. Lihir's shares have been trading 1-2 percent below the value of the cash-and-shares offer, worth A$4.44 a share on Wednesday's trade, indicating investors expect the deal to go ahead.

Newcrest completed a review of Lihir's books on June 8 and confirmed it would go ahead with its offer, aiming to close the deal in September.

SYDNEY, June 8 (Reuters) - Australia's Newcrest Mining said it has finished due diligence on rival Lihir Gold and expects to complete an $8 billion acquisition to create the world's fourth-biggest listed gold miner by September.

It added in a statement on Tuesday that Lihir should now stop any discussions with third parties.

At least four of the world's biggest gold producers have looked at the books of Lihir but Newcrest was seen as the only bidder, people familiar with the situation said on Monday.

Newcrest, which launched a bid last month for its local rival, said it expected the timetable to complete a deal would be extended by up to two weeks.

'As a result, the Scheme Meeting is likely to be held in August, with completion of the merger in September 2010, subject to Lihir shareholders approving the transaction,' Newcrest said in a statement.

AngloGold Ashanti, Barrick Gold, Newcrest and Newmont Mining Corp looked at Lihir's books before the company's data room closed on June 8, but no new bid was imminent, two sources familiar with the situation said on Monday.

Lihir must work exclusively with Newcrest from Tuesday on the deal. Newcrest's bid is the only formal offer for Lihir so far but the other miners could still make rival bids in coming weeks, the sources said.

Any rival bid was unlikely to come until an independent expert's report on Newcrest's offer was released, the sources said.

Under Newcrest's bid, Lihir shareholders will get one Newcrest share for every 8.43 shares they own, plus A$0.225 cash a share less any interim dividend declared or paid by Lihir.

Lihir is being advised by Macquarie and Australian boutique firm Caliburn. Newcrest is advised by Lazard and Bank of American-Merrill Lynch.

AngloGold Ashanti, Barrick Gold, Newcrest and Newmont Mining Corp have looked at Lihir's books before the company's data room is closed on June 8, but no new bid was imminent, the sources said on Monday.

One of the sources with direct knowledge of the deal said Barrick, Newmont and AngloGold were unlikely to launch a rival bid, possibly leaving Newcrest as the only suitor for Lihir, which operates key assets in Papua New Guinea.

Newcrest last month agreed to increase its bid for Lihir to $8.4 billion and if successful, the deal would create the world's fourth largest listed gold miner by market capitalisation.

While the data room closes on Tuesday, potential suitors can still lodge bids after that date.

The most logical time for Barrick, Newmont and AngloGold to lodge rival offers would be after the independent expert's report on the Newcrest offer was released in the next two weeks, two sources said.

'It (a rival offer) is entirely possible. The only people who would know that are the chief executives and the chairmen of the parties in the data room. It doesn't make any sense for them to put in a bid on the table until they see the experts report,' one of the sources said.

A spokeswoman for Lihir was not immediately available for comment. An AngloGold spokeswoman declined to comment. Barrick and Newmont were not immediately available to comment.

MELBOURNE, April 1 (Reuters) - Australian miner Lihir Gold has rejected a $8.5 billion takeover offer from rival Newcrest Mining that would have made Newcrest the world's fourth-largest listed gold miner, with a foothold in Africa.

Newcrest, Australia's top gold producer, said it remained willing to talk to Lihir after having already raised it bid once.

The bid from Newcrest marks the latest in a flurry of mining takeovers in Australia, powered by metals demand from fast-growing China and India and comes after gold prices hit a record high last December.

If Newcrest swallowed up Lihir it would overtake South Africa's AngloGold by market value, producing 3 percent of the world's gold supply from mines in Australia, Indonesia, Cote D'Ivoire and Papua New Guinea.

Newcrest's offer, worth A$9.2 billion or A$3.87 a share before the deal was announced, represented a 28 percent premium to Lihir Gold's closing price on Wednesday. The combined market capitalisation of the two firms based on Wednesday's close would be $22.8 billion.

'That's a bloody good premium. Lihir's been trading at less than three bucks to A$3.20 for who knows how long,' said Eagle Mining Research analyst Keith Goode. 'If I were Lihir, I'd be saying thanks a lot Newcrest.'

Lihir's shares shot up as much as 33 percent to a two-year high after it said the offer failed to capture its growth potential in Papua New Guinea and West Africa. Its shares were trading only about 4 percent above the offer value later Thursday, as analysts said the chances of another gold miner bidding against Newcrest were limited.

Lihir said its board recognised the strategic merits of the combination of the two companies, but the offer, which came after Newcrest was given access to Lihir's books for a few months, did not include a big enough premium for control.

'We think the offer was well short of true value for the asset,' Lihir Chairman Ross Garnaut told reporters.

Newcrest's initial offer in February was 1 Newcrest share for every 9.5 Lihir shares. It revised that to 1-for-9 plus A$0.225 in cash, which Lihir's board turned down on Thursday.

Analysts said the bid made sense for Newcrest as it would give the company a platform for growth in West Africa, where Lihir recently acquired mines and acreage in Ivory Coast, and would give Lihir the underground expertise it needs there.

The company said the combined group could extract savings of A$85 million a year and would increase its gold reserves by 45 percent.

'The offer is compelling, but not vital for Newcrest's growth,' Newcrest said in a slide presentation.

Newcrest shares fell 1.8 percent to A$32.24.

Without Lihir, Newcrest is slated to increase its production 40 percent by 2014 to 2.3 million ounces a year.

NEW CEO

The deal was rejected just as Lihir appointed a new chief, Graeme Hunt, a 34-year veteran at top global miner BHP Billiton , who started at its steelworks and led the expansion of its huge iron ore operations in Western Australia.

'The Newcrest offer just demonstrates how strong the strategic potential and underlying value of the organisation is in that we're attracting attention,' Hunt, 53, told reporters.

In 2009, Lihir produced 1.12 million ounces of gold, with production in 2010 forecast to be between 960,000 ounces and 1.06 million ounces, according to data on its website.

In Ivory Coast it has over 20,000 square km (7,723 sq mile) of exploration licences either granted or under application in the highly prospective Birimian greenstone belts.

Newcrest is co-developing gold mines in Papua New Guinea with Harmony Gold Mining Ltd of South Africa containing an estimated 15.2 million ounces of gold.

With Newcrest already working in Papua New Guinea, Lihir offers synergies that would not be available to other gold miners considering a counter-offer.

The high cost of handling waste discharge from Lihir's mining operation could also be a deterrent.

'The offshore tailings disposal at Lihir Island may turn off potential counterbidders, and there's limited synergies because Lihir Island is a remote island off the coast of Papua New Guinea,' RBS analyst Lyndon Fagan said.

Lihir is being advised by Australian boutique firm Caliburn, and Newcrest is being advised by Lazard and Bank of America-Merrill Lynch.

Genau! Vielleicht fällt sie tatsächlich bald wieder tiefer, denn von einem rückläufigen Goldpreis wäre ich nicht überrascht! Ich verstehe sowieso nicht ganz, warum Gold als Wert seit Jahrhunderten als Grundlage für Preisfestlegungen dient.

P.S. Als zwischen dem 15. und 16. Jahrhundert der Pfeffer aus Südostasien Europa erreichte, handelten die Europäer Pfeffer - durch dessen antimikrobielle Inhaltsstoffe auch als Heilmittel sehr beliebt - 1:1 mit Gold! Also 1 kg Pfeffer kostete damals auf dem Höchst gleichviel wie 1 kg Gold!!! Mit Pfeffer kann man wenigstens würzen und heilen! :idea: :idea: :idea:

The company posted a net loss after one-off charges of $300.9 million, down from a profit of $36.5 million in the prior year.

The one-offs included an impairment charge on the Ballarat gold mine of $409 million.

Total cash costs per ounce for the full year were expected to be below $400 per ounce, after declining to $350 an ounce in the first half. The industry average was $437 per ounce in the March quarter, according to Macquarie Bank data.

Von den Kosten ist es egal ob Frankfurt oder gleich Canada. Ich habe auch einen Canadischen Titel im Depot.

Volumen in Frankfurt war bis jetzt immer da, wenn auch nicht massig.

Der einzige Grund für mich ist dass ich lieber Euro als Währung habe. Scheint mir stabieler auf dauer. Aber bin nicht der Währungsprofi :oops:

EDIT: Ein Grund könnte noch sein, dass die zu unserer Zeit handeln. Aber bei Gold ist das nicht so wichtig 8)

Zu deiner Beruhigung: den mit der Währung kannst du gleich vergessen. Das wird immer ausgeglichen. D.h., sollte die Aktie in Frankfurt stabil bleiben und gleichzeitig der Dollar sinken wird die Aktie an der US/CAN-Börse entsprechend steigen. Der Aktienwert stellt schliesslich einen Anteil am Firmenwert dar. Wink

Ja, die Handelszeiten können ein Grund sein. Für mich als Spätaufsteher haben jedoch die Zeiten in den USA durchaus auch ihre Vorteile. Zudem sind die Aktie dann zu den Zeiten handelbar wo auch Gold seine grössten Sprünge macht. Ich habe z.B. gestern nach 18.00h fast bei Höchstständen einen kleinen Teil verkauft. In Europa wäre das nicht möglich gewesen.

Hatte bisher noch nirgens Volumen in dieser Grössenordnung. Meistens waren sie bedeutend höher, ab und zu bedeutend tiefer. Zweiteres war bisher für mich manchmal extrem mühsam und kostspielig. Deshalb habe ich nachgefragt.

Bisher bin ich da noch nicht drinn.

Aber habe andere Titel in Frankfurt und bis jetzt keine Probleme. Hoffe das bleibt so Blum 3

Von den Kosten ist es egal ob Frankfurt oder gleich Canada. Ich habe auch einen Canadischen Titel im Depot.

Volumen in Frankfurt war bis jetzt immer da, wenn auch nicht massig.

Der einzige Grund für mich ist dass ich lieber Euro als Währung habe. Scheint mir stabieler auf dauer. Aber bin nicht der Währungsprofi :oops:

EDIT: Ein Grund könnte noch sein, dass die zu unserer Zeit handeln. Aber bei Gold ist das nicht so wichtig 8)

Frage: Was sind deine Gründe in, in Frankfurt zu kaufen? Das Volumen dort ist ja nicht gerade berauschend. Hattest du bisher nie Probleme beim Kauf / Verkauf?
