Novell Gets Buyout Offer; Shares Rise

WALTHAM, Mass. (TheStreet) -- Novell (NOVL Quote) said its board will review a buyout offer valued at about $2 billion from private-equity firm Elliott Associates.

In a statement, Novell acknowledged receipt of the unsolicited proposal from Elliott for $5.75 a share in cash. Novell shares closed Tuesday at $4.75, but soared 25.9%, or $1.23, to $5.98 in after-hours trading. The Elliott offer was disclosed just after the market closed Tuesday.

In premarket trades Wednesday, the stock rose to $6.11.

Elliott already owns about 8.5% of enterprise software maker Novell, meaning its offer is for the remainder.

Elliott portfolio manager Jesse Cohn, in a letter to Novell's board, said the private-equity firm's offer implies an enterprise value, net cash, of $1 billion. Elliott said its offer price represents a premium of 49% over Novell's current enterprise value and 77% over Novell's 90-day volume-weighted average enterprise value.

"By any measure, we believe our proposal represents a compelling opportunity that your stockholders will find extremely attractive," the letter said.

Elliott began buying Novell shares around Jan. 4. It said its offer is a premium of 115% over Novell's enterprise value on that date.

Due in part to stronger than expected earnings reports, technology stocks have held their own in what has been an increasingly volatile market environment.

Novell (nasdaq: NOVL - news - people ) is among these stocks. Yet its marked strength over the past several weeks suggests something more--or more appropriately, the return of something that's been missing for quite a number of years.

The workgroup category accounted for 45.4% of revenues. It provides employee-level computing, networking and collaboration solutions designed to operate within existing mixed-source environments. Products include GroupWise, Netware and Open Enterprise Server.

Identity and security management accounted for 21.2% of revenues. Solutions are designed to protect IT infrastructures from unauthorized access without compromising operational effectiveness. Systems create and assign digital identities to IT resources, track usage and report the information for auditing, billing and compliance purposes.

Systems and resource management produced 18.4% of revenues. The ZENworks product line allows customers to set business and IT policies to automate the management of servers, desktops, laptops and hand-held devices.

Open platform solutions accounted for 12.3% of revenues for the first nine months of fiscal 2007. The segment offers operating systems, network services and workgroup computing software solutions based on the Linux open source operating system. The SUSE Linux enterprise computing platform allows for high interoperability between open source and proprietary systems.

Finally, business consulting produced 2.7% of revenues. It provides IT consulting, training, testing, certification programs and technical support. NOVL has key partnerships with other software providers including IBM (nyse: IBM - news - people ), Microsoft (nasdaq: MSFT - news - people ), Oracle (nasdaq: ORCL - news - people ), Hewlett-Packard (nyse: HPQ - news - people ) and SAP (nyse: SAP - news - people ). These partnerships help ensure software interoperability and lead to joint marketing and sales initiatives.

Increased competition and weaker than expected acceptance of new software offerings contributed to weak operating results for much of the past decade. To help drive growth, NOVL dedicated its focus on broadening and accelerating worldwide adoption of Linux. It also implemented a design approach to enterprise infrastructure solutions, which consisted of creating open standards-based discrete software products that are easy to implement without dependence on proprietary software.

Recent results indicate that this approach is beginning to bear fruit. Fiscal Q3 net revenues rose 3% year-over-year to $243.1 million. Thanks to a 77% surge in Linux platform products, open platform solutions revenues jumped 47.2% to $22.1 million. This offset slight declines in the company's larger segments. The adjusted operating profit margin more than doubled year-over-year to 5.13%. Because year-ago results were boosted by a tax benefit, adjusted net income fell 32.4% to $16.13 million, or five cents per share, but was still ahead of expectations.

A significant investment risk includes competition from larger rivals who can offer a more extensive portfolio of IT solutions. However, we believe NOVL's dedication to Linux will continue to drive growth in the near-term term. Deferred revenues are up $343 million from a year ago and $34 million sequentially to $734 million. The adjusted operating profit margin is already within the 5% to 7% target exit for fiscal 2007.

Partnership activity remains strong and includes a recent collaboration with IBM to support that company's WebSphere Application Server Community Edition as part of SUSE Linux Enterprise Server.

Finally, the U.S. District Court in Utah recently upheld NOVL's ownership of Unix copyrights. This could lead to more business for the company by allaying concerns of those who may have been hesitant to switch to Linux (which is based on Unix) out of fear of having to pay potential royalties to the plaintiff.

The quantitative model employed by the Forbes Growth Investor identified the stock right before its recent earnings-related pop. It continues to rank NOVL favorably, suggesting there is much upside left over the near-term.

Novell NewsBite Novell Q3 Loss Narrows on Increasing Revenue, Lower Costs

Aug 30, 2007 (Fresh Brewed Media via COMTEX) -- Novell Inc. (NOVL) opened at 6.92. So far today, the stock has hit a low of 6.81 and a high of 7.35. NOVL is now trading at 7.33, up 0.53 (7.81%). The stock hit its 52 week high of 8.26 in June and set its 52 week low of 5.70 in December. NOVL has sharply risen this year, but has been moving sideways recently. Novell reported yesterday after the market closed its third-quarter loss narrowed to $3.4 million, or a penny per share on increasing revenue and lower sales costs. The company posted earnings of $16.1 million, or 5 cents per share on revenue of $243.1 million, topping analysts' estimates for earnings of 2 cents per share on revenue of $234.8 million. Technical indicators for the stock are bearish and steady while S&P gives NOVL a neutral 3 STARS (out of 5) hold rating. We will just watch this one for now. There are no options trades we like for NOVL.

..Microsoft übernimmt Novell, oder doch nicht Biggrin

Bomb: internal memo shows MS planning to acquire Novell

An internal memo leaked by an anonymous (and unhappy) management level worker at Novell shows an already ongoing plan whereby Microsoft will acquire Novell, by a stock transfer operation to take place in the next few months. Both companies have their legal teams working on the technicalities.

The memo shows that the merge will keep the SUSE trademark for all products. Internally MS has already prepared a team to maintain the product, and work on the merge process, says the 20 page document, that seems to have reached most high level executives of Novell and MS.

The worker, who anonymously sent an email with the attached memo to some selected IT sites to garner some extra publicity, claims to work at "NED Department at Novell". However, No Novell employees were able to identify this claim. A press release is expected to be issued during the next two weeks. The Novell board is said to keep working in Novell after the merge, to maintain the products and help the transition phase.

The source also said that this virtually eliminates the problems of the MS/Novell deal, as MS itself will be entering the Linux market, after years of competition with Linux.

Software maker Novell Corp. said on Tuesday that Microsoft Corp. will make two separate payments totaling $348 million to the company under an agreement to allow Novell's open-source Linux software to work with Windows.

Microsoft will pay Novell $240 million up front in subscription fees to allow the software giant to use its Linux software. Microsoft will pay an additional $108 million in upfront payment for use of patents, Novell said in a a filing with the U.S. Securities and Exchange Commission.

The up front payment would be about 20% of trailing annual sales -- a big number.

The stock is only up $.16 in after hours trading. Again, the market thinks this is, long term, a not so hot deal for Novell. I think they are wrong but with the company fiscal year ending in October, it will be January before the company can start to highlight how well this deal is developing.

Nvidia erscheint mir aber etwas zu hoch um einzusteigen. Nvidia hatte in den letzten Monaten einen rasanten Anstieg (ca. 30%), da erwartet wurde, dass Intel sich Nvidia reinzieht, nachdem AMD ATI geschluckt hatte. Intel hat aber selber genug Know How im Grafikchipbereich und braucht Nvidia nicht. Der Kurs könnte leicht wieder drehen.

Anfang Oktober will Novell eine Version von Suse Linux Enterprise Real Time vorstellen.

Novell will seine Enterprise-Linux-Familie um die Version Suse Linux Enterprise Real Time (SLERT) – ein Echtzeit-Linux – erweitern. Die Lösung soll vor allem in grossen Serverumgebungen zum Einsatz kommen und besitzt die Eigenschaft, eine garantierte Reaktionszeit auf externe Ereignisse zu bieten. Vorgestellt wird SLERT Anfang Oktober im Rahmen des Gartner Symposium in Florida. Entwickelt wird die Lösung gemeinsam mit der Firma Concurrent. (mw)

..leider droht noch Delisting von der Nasdaq (Verspätung wurde von Novell am 11.9. gemeldet, weil noch die Optionsprogramme im Q3 eingearbeitet werden muss, darauf kam Androhung Delisting, Hearing vor NDX-Ausschuss sollte demnächst ablaufen, demnächst sollte der Q-Bereicht folgen), das kann man aber kaum ernst nehmen....

Suse Linux Enterprise Real-Time ist etwa für Medizin oder Börse geeignet

Novell wird im Rahmen des Gartner Symposium, das im Oktober in Orlando stattfindet, sein erstes Echtzeit-Betriebssystem vorstellen. Suse Linux Enterprise Real-Time (SLRT) wird in Zusammenarbeit mit Concurrent Computer entwickelt und ist vor allem für Bereiche wie die Medizin, die Börse oder auch Radars gedacht.

Einen ersten Kunden konnten die beiden Unternehmen bereits für sich gewinnen. So wird Siemens Medical Solutions das Echtzeit-Linux für Magnetom, einen Kernspintomographen, einsetzen. Auch die Wall Street hat bereits ihr Interesse an dem neuesten Produkt aus dem Hause Novell verkündet.

Glenn Seiler, Senior Manager of Linux Platforms bei Wind River Systems, ist sich sicher, dass Echtzeit-Anwendungen in Zukunft auch in Mainstream-Varianten von Linux Einzug halten werden. Er rechnet damit, dass bereits im Kernel 2.6.19 oder 2.6.20 solche Funktionen eingebaut werden.
